The arbitration provisions are set forth in Section 14 below, “Dispute Resolution: Venue, Arbitration, Class Action Waiver, Governing Law.” Like any asset , the value of digital currencies may fluctuate in value, and there is a substantial risk that you may

incur financial losses when buying, selling, holding, or investing in digital currencies. By using the Service, you acknowledge and agree that:

(1) You understand the risks associated with digital currency transactions;

(2) You bear all risks associated with using the Service and conducting digital currency transactions;

(3) MetaComp assumes no responsibility for such risks or adverse consequences. By accessing, using or attempting to use the Service in any capacity, you confirm that you accept and agree to be bound by these Terms of Use. If you do not agree, please do not access or use this product.

1. Agreement Conditions
MetaComp reserves the right to modify or change these Terms of Use at any time at its sole discretion. MetaComp will notify you
of changes by updating the revised terms on the webpage () and revising the [Last Revision Date] displayed on this page.
Any and all modifications or changes to these Terms of Use will be effective immediately after they are posted on the website or sent to users. Therefore, your continued use of MetaComp services
constitutes acceptance of the modified agreement and rules. If you do not agree to any changes to these Terms of Use, please stop using the service immediately . MetaComp encourages you to review these Terms of Use frequently to ensure that you understand the terms and conditions that apply to your access and use of this product.

2. Eligibility
By registering to use a MetaComp Account (as defined in Section 5 below), you represent and warrant that you:

(a) have reached 18 years of age or the legal age to form a binding contract under applicable law;

(b) is an individual, legal person or other organization with full legal capacity and authority to enter into these Terms of Use;

(c) has not been previously suspended or disqualified from using the Services;

(d) You do not currently have a MetaComp account. If you are acting as an employee or agent of a legal entity and are entering into these Terms of Use on its behalf in that capacity, you represent and warrant that you
have all necessary rights and authority to bind such legal entity.

3. Prohibited Uses By
accessing and using the Service, you represent and warrant that you are not listed on any trade or economic sanctions list (such as the United Nations Security Council sanctions list). MetaComp reserves the right to select the markets and jurisdictions in which to operate its business and may restrict

or refuse to provide the Service in certain countries at its sole discretion.

4. Description of the Service MetaComp provides an online digital
asset trading platform (crypto-to-crypto)
for products commonly referred to as crypto tokens, digital tokens or cryptocurrencies (collectively, "Digital Currencies") . MetaComp does not offer fiat currency trading functionality as part of the Service. City of
Dreams acts only as a trading platform provider and does not act as a buyer or seller on either side of a transaction. MetaComp is also not a market maker. As
further detailed in Section 5 below, users must register and open an account with MetaComp and deposit digital assets before commencing trading. Traders may apply to withdraw digital assets, subject to the restrictions set forth in these Terms of Use. Although MetaComp strives to maintain

the accuracy of the information published on the Service, MetaComp cannot and does not guarantee the accuracy, suitability , reliability, completeness, performance or appropriateness of the content provided through the Service and

assumes no liability for any loss or damage that may arise directly or indirectly from your use of such content. The information on the Service may change without notice and is provided primarily to assist
users in making independent decisions. MetaComp does not provide investment or consulting advice and is not responsible for the use or interpretation of information on the Service or other communication media
. All users of the Service must be aware that there are risks associated with trading in digital currencies. MetaComp expects all users to
exercise caution and trade responsibly within their means.

5. MetaComp Account Registration and Requirements
a. Registration

for a MetaComp account
before using the Service . When registering an account, you must provide your real name, email address and password, and accept these
Terms of Use, Privacy Statement and Consent Form. MetaComp may refuse to open an account for you at its sole discretion. You agree to provide complete
and accurate information when opening an account, and agree to promptly update any information you provide to MetaComp to maintain the completeness and accuracy of the information. Each
registration is for only one user, and each user (including any user belonging to a business or legal entity) may only open one
active City of Dreams account.

b. User Authentication

By registering an account on MetaComp, you agree to provide personal information requested for identity verification. This information is specifically
used to uncover clues to money laundering, terrorist financing, fraud and other financial crimes conducted on the MetaComp platform. We will collect, use and share this information in accordance with our published Privacy Statement. In addition to providing this information, in order to comply with global

industry standards for data retention, you agree to allow us to retain records of this information during the life of your account and for 5 years after the account is closed. You also authorize us to conduct

investigations necessary to verify your identity or protect you and/or us from financial crimes (such as fraud) directly or through third parties. The identity verification information we request may include, but is not limited to, your: name, email address, contact information, phone number
, username, government-issued ID, date of birth, and other information collected during account registration. When providing such requested information
, you confirm that such information is true and accurate. After registration, you must ensure that the information is true and complete, and update it promptly if there is any change . If there is any reason to suspect that any information you provide is wrong, untrue, outdated or incomplete, MetaComp has the right

to send you a notice, request corrections, directly delete the relevant information, and (as the case may be) terminate all or part of the services provided to you. If
you cannot be contacted via the contact details provided, you are solely responsible for any losses or expenses incurred during the use of the Service. You
hereby acknowledge and agree that it is your obligation to update all information at any time if there are any changes. By registering an account, you hereby authorize City of
Dreams to conduct any investigation MetaComp deems necessary, directly or through a third party, to verify your identity or to protect you and/or MetaComp from fraud or other financial crimes, and to take any action MetaComp deems necessary based on the results of the investigation. You also acknowledge and agree that your

personal information may be disclosed to credit reporting agencies and fraud prevention or financial crime prevention departments, which may respond fully to our investigation
.

c. Account Usage Requirements

An account can only be used by the person who registered the account. MetaComp reserves the right to suspend, freeze or cancel the use of an account by anyone other than the person who registered the account
. If you suspect or discover any unauthorized use of your username and password, you should notify MetaComp immediately. MetaComp
is not responsible for any loss or damage caused by the use of your account by you or any third party (whether authorized by you or not).

d. Account Security

MetaComp has been committed to maintaining the security of users' entrusted funds and has implemented industry-standard protections for its services. However, the actions of individual users will create risks. You agree to treat your access credentials (such as usernames and passwords) as confidential information and not disclose such information to any

third party. You also agree to be solely responsible for taking necessary security measures to protect the security of your own account and personal information. You are solely responsible for keeping your
MetaComp account and password, and are responsible for all transactions under your account. MetaComp shall not be liable for any losses or consequences caused by the authorized or unauthorized use of
your account credentials, including but not limited to information disclosure, information release,
consent to or submission of various rules and agreements by clicking on the website, online renewal of agreements, etc. By creating an account, you hereby agree that:

will immediately notify MetaComp
if you become aware of any unauthorized use of your MetaComp account and password or any other breach of security.
(2) You will strictly abide by the security, authentication, transaction, fee, and exit mechanisms or procedures of the Website/Services.

(3) You will take appropriate steps to log out of the Site at the end of each visit

6. Guidelines for Use of Services
a. License

Subject to your continued compliance with the terms and conditions expressly set forth in these Terms of Use, MetaComp grants you a revocable, limited, royalty -free , non-exclusive, non-transferable, non-sublicensable license

to access and use the Service for your own personal, internal purposes through your computer or Internet-compatible device. You may not use the Service for resale or commercial purposes, including trading on behalf of another person or entity. All of the foregoing
uses are expressly prohibited and constitute a material breach of these Terms of Use. The arrangement, format, functionality and access rights of the Service shall be determined by
MetaComp in its sole discretion. MetaComp hereby reserves all rights not expressly granted in these Terms of Use. Accordingly, you are hereby prohibited from
using the Service in any manner not expressly authorized in these Terms of Use. These Terms of Use only grant a limited license to access and use the Service. Accordingly
, you hereby agree that MetaComp does not transfer any ownership or intellectual property rights in the Service or any of MetaComp's intellectual property to you or anyone else through your use of the Service .
All text, graphics, user interfaces, visual interfaces, photographs, sounds, artwork, computer
code (including html code), programs, software, products, information and documentation, and the
design, structure, selection, coordination, expression, "look and feel" and arrangement of any content contained in or made available through the Service, are exclusively owned, controlled and/or licensed by MetaComp or its members, parents, licensors or affiliates. MetaComp will own

any feedback, suggestions, ideas or other information or materials you provide via email, the Service or otherwise regarding MetaComp or the Service ("Feedback"). You hereby assign to MetaComp all right, title and interest in and to the Feedback and all related intellectual property rights. You shall have no right to, and hereby waive

any claim to, acknowledgment or compensation for any Feedback or any modifications made based on any Feedback.

b. Restrictions

When you use this service, you agree and commit to abide by the following provisions:

i. All activities you conduct during your use of the Service will comply with applicable laws, regulations, and MetaComp’s guidelines;

ii. Your use of the Service will not violate the public interest, public morals or the legitimate interests of others, including taking any action that would interfere with, disrupt, negatively affect or prohibit other users from using the Service
;

iii. You agree not to use the Services for market manipulation (such as pump and dump, wash sales, self-trading, front running, order stuffing, spoofing
or layering, whether or not prohibited by law);

iv. Unless MetaComp written consent is obtained, the following commercial uses of MetaComp Data are prohibited:

(1) Trading services using MetaComp quotes or market bulletin board information.

(2) Utilize MetaComp’s data feed or data streaming service for any market data.

Any other website/application/service that charges for market data obtained from MetaComp or otherwise seeks to profit commercially (including through advertising or referral fees).

(4) You may not modify, reproduce, duplicate, copy, download, store, further transmit, disseminate, transfer, disassemble, broadcast,
publish, remove or alter any copyright notices or labels, license, sublicense, sell, mirror, frame, rent, lease, private
label, grant a security interest in, create derivative works from or otherwise exploit the Property or any part of the Property without MetaComp prior written consent.

(5) You may not use any "deep link," "page scrape," "robot," "spider" or other automatic device, program, script
, algorithm or methodology, or any similar or equivalent manual process to access, acquire, copy or monitor any portion of the Properties, or in any way reproduce or circumvent the navigational structure or presentation of the Service, to obtain or attempt to obtain any materials

, documents or information through any means not intentionally made available through the Service;

(6) Attempt to gain unauthorized access to any portion or feature of the Properties , or any other systems or networks connected to the Service or to any MetaComp server or to any service offered through the Service, by hacking, password "mining" or any

other illegitimate or prohibited means;

(7) Probe, scan or test the vulnerability of the Service or any network connected to the Property, and do not breach the security or authentication measures of the Service or any network connected to the Service;

(8) Reverse lookup, trace or seek to trace any information of any other user or visitor of the Service;

(9) Take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Service or MetaComp systems or networks, or any systems or networks connected to the Service;

(10) Use any device, software or routine to interfere with the normal operation of the Service or any transaction conducted on the Service, or any other person’s use of the Service;

(11) Forge headers, impersonate another person, or otherwise manipulate identifiers in order to disguise your identity or the origin of any message or transmission you send to the Service,

or use the Service in an illegal manner. By accessing the Service, you agree that MetaComp has the right to investigate any violation
of these Terms of Use, unilaterally determine whether you have violated these Terms of Use, and take action to apply relevant regulations without your consent or prior notice
. Examples of such actions include, but are not limited to:

Block and close orders Request account freezing
Report incidents to authorities
Publish alleged violations and actions taken
Remove any offending information you have posted

7. Orders and Service Fees
a. Orders

Upon placing an instruction to conduct a transaction using the Service (an "Order"), your Account will be immediately updated to reflect the open Order and your Order will be listed on MetaComp bulletin board to match other User's orders. If your Order

matches, in whole or in part, another User's Order, the Service will execute the exchange (a "Trade"). Upon execution of a Trade, your Account will be updated to reflect that the Order has been closed due to being fully executed or updated to reflect that the Order has been partially fulfilled. An Order will

remain open until fully executed or cancelled in accordance with Section (b) below. In order to enter into a Trade, you authorize MetaComp to temporarily control the Digital Currency at your disposal in the Trade.

b. Cancellation

You may cancel an order initiated through the Service only before your order is matched with another user's order. You may not change, revoke or cancel MetaComp authorization to complete an order once your order has been matched with another user's order . If any order has been partially

matched, you may cancel the unmatched portion of the order, but not if the unmatched portion has been matched. MetaComp reserves
the right to deny any cancellation request related to an order after you have submitted it. If you do not have a sufficient amount of Digital Currency in your Account to fulfill
an order, MetaComp may cancel the entire order or fulfill the portion of the order that can be covered by the Digital Currency in your Account (in each case
, after deducting any fees payable to MetaComp in connection with the transaction, as described in Section (c) below).

c. Fees

You agree to pay MetaComp the fees set forth, which MetaComp may update at any time in its sole discretion
. Any updated fees will apply to any purchases, sales or other transactions that occur after the effective date of the updated fees. You authorize MetaComp to debit your
account for any applicable fees owed by you under these Terms of Use.

8. Liability
a. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, MetaComp MATERIALS AND
ANY PRODUCTS, SERVICES OR OTHER ITEMS PROVIDED BY OR ON BEHALF OF MetaComp ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, AND MetaComp EXPRESSLY DISCLAIMS, AND
YOU WAIVE, ALL OTHER WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR
PURPOSE, TITLE OR NON-INFRINGEMENT OR ARISING FROM COURSE OF PERFORMANCE, COURSE OF DEALING OR USAGE OF TRADE. WITHOUT LIMITING THE FOREGOING
, MetaComp MAKES NO REPRESENTATIONS OR WARRANTIES THAT THE SITE, SERVICES OR MetaComp MATERIALS ARE ACCURATE, COMPLETENESS, RELIABILITY, VALIDITY, ERROR-FREE OR FREE OF VIRUSES
OR OTHER HARMFUL COMPONENTS. MetaComp DOES NOT WARRANT THAT ANY ORDER WILL BE EXECUTED, ACCEPTED, RECORDED OR RESIST OUT OF FULL
PERFORMANCE. EXCEPT AS EXPRESSLY PROVIDED HEREIN, YOU HEREBY ACKNOWLEDGE AND AGREE THAT YOU HAVE NOT RELIED ON ANY OTHER
WRITTEN OR ORAL REPRESENTATION OR AGREEMENT IN CONNECTION WITH YOUR USE AND ACCESS OF THE SERVICES. WITHOUT LIMITING THE FOREGOING, YOU HEREBY UNDERSTAND AND AGREE THAT MetaComp
SHALL NOT BE

(A) any inaccuracy, defect or omission in digital currency price data;

(B) ANY ERRORS OR DELAYS IN THE TRANSMISSION OF SUCH DATA;

(C) ANY DAMAGES CAUSED BY INTERRUPTION OF SUCH DATA, AND THE ACTS, OMISSIONS OR BREACH
OF THIS AGREEMENT BY OTHER USERS. THE DISCLAIMERS OF IMPLIED WARRANTIES CONTAINED IN THIS AGREEMENT MAY NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW IN THE JURISDICTION IN WHICH YOU RESIDE .

b. Disclaimer of Damages and Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MetaComp, ITS AFFILIATES, AND THEIR RESPECTIVE SHAREHOLDERS, MEMBERS, DIRECTORS, OFFICERS, EMPLOYEES , ATTORNEYS, AGENTS, REPRESENTATIVES, SUPPLIERS OR CONTRACTORS BE LIABLE FOR ANY INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, CONSEQUENTIAL OR

SIMILAR DAMAGES
OR LIABILITIES (INCLUDING, WITHOUT LIMITATION, LOSS OF DATA, INFORMATION, REVENUE, PROFITS OR OTHER BUSINESS OR FINANCIAL ADVANTAGE) ARISING OUT OF OR IN CONNECTION WITH THE SERVICES, ANY PERFORMANCE OR NON-PERFORMANCE OF THE SERVICES, OR OTHER PRODUCTS, SERVICES OR OTHER ITEMS PROVIDED BY OR ON BEHALF OF MetaComp OR ITS AFFILIATES, WHETHER BASED ON CONTRACT, STATUTE, STRICT LIABILITY OR OTHER THEORY, EVEN IF MetaComp

HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES, UNLESS UPON A FINAL JUDICIAL DETERMINATION THAT SUCH DAMAGES WERE CAUSED BY MetaComp GROSS NEGLIGENCE, FRAUD, WILLFUL MISCONDUCT
OR INTENTIONAL VIOLATION OF LAW. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION MAY
NOT APPLY TO YOU. NOTWITHSTANDING THE FOREGOING, IN NO EVENT WILL MetaComp, ITS AFFILIATES AND THEIR RESPECTIVE SHAREHOLDERS, MEMBERS, DIRECTORS , OFFICERS, EMPLOYEES, ATTORNEYS, AGENTS, REPRESENTATIVES, SUPPLIERS OR CONTRACTORS ARISING OUT OF OR IN ANY WAY

CONNECTED WITH THE SERVICES PROVIDED BY OR ON BEHALF OF MetaComp OR ITS AFFILIATES, ANY PERFORMANCE OR NON-PERFORMANCE OF THE SERVICES, OR ANY OTHER PRODUCTS, SERVICES OR OTHER ITEMS PROVIDED BY OR ON BEHALF OF MetaComp OR ITS AFFILIATES , WHETHER BASED ON CONTRACT, STATUTE, STRICT LIABILITY OR OTHER THEORY, EXCEED

THE AMOUNT PAID BY YOU TO MetaComp UNDER THIS AGREEMENT IN THE TWELVE MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM FOR LIABILITY.

c. Indemnification

You agree to indemnify and hold harmless MetaComp, its affiliates, contractors, licensors, and their respective directors, officers, employees and agents from and against any claims, actions, proceedings, investigations, demands, suits, costs,

expenses and damages (including attorneys’ fees, fines or penalties imposed by any regulatory authority) arising out of or related to:

(i) Your use of the Service or behavior related to the Service;

(ii) your breach of these Terms of Service or our enforcement of these Terms of Service;

(iii) Your violation of any applicable laws, regulations or the rights of any third party during your use of the Service.

You are obligated to indemnify MetaComp, its affiliates, contractors, licensors and their respective directors, officers, employees or agents,

MetaComp will have the right, in its sole discretion, to control any action or proceeding and to determine whether MetaCompo wishes to settle and, if so, on what terms.

9. Announcements
Please note that all official announcements, news, promotions, competitions and airdrops will be posted on MetaComp, and we encourage all users to check these materials regularly. MetaComp
will not be liable for any compensation
if users suffer personal losses due to ignorance or negligence of the announcements .

10. Termination of Agreement
You agree that MetaComp has the right to immediately suspend your account (and any accounts beneficially owned by affiliated entities or affiliates),
freeze or lock the funds in all such accounts, and suspend your access to MetaComp for any reason, including suspicion that any such account has violated these
Terms of Use, our Privacy Statement, or any applicable laws and regulations. You agree that MetaComp is not responsible for any permanent or temporary modification of your account
, or suspension or termination of access to all or part of the Services. MetaComp has the right to preserve and use data or other information related to transactions in your account
. The above account controls may also apply to the following situations:

The account is subject to government proceedings, criminal investigations or other pending litigation;
we discover unusual activity in the account;
we detect unauthorized access to the account;
we are required to do so by court order or order of a regulatory/governmental authority. MetaComp has the right to terminate this Agreement directly by canceling your account and has the right to permanently freeze (cancel) the authorization you granted to MetaComp for your account and revoke

the corresponding MetaComp account if any of the following events occur:
After MetaComp terminates the provision of services to you;
you are identified as registering as a MetaComp user again directly or indirectly under the name of any other person;
the information you provide is untrue, inaccurate, outdated or incomplete;
when modifying these Terms of Service, you clearly state and notify MetaComp that you do not want to accept the modified terms;
you request to terminate the service;
any other circumstances that MetaComp believes should terminate the service. If your account is terminated, account and transaction information that meets the data retention criteria will be securely stored for 5 years. In addition, if there are transactions that have not been completed during the account termination process, MetaComp has the right to inform your transaction

counterparty of the situation at that time. You agree that user-initiated account withdrawal (right to erasure under GDPR or other equivalent regulations) will also be subject to the above termination agreement
. If MetaComp is notified that any funds in your account have been stolen or are not lawfully owned by you, MetaComp may, but is not
obligated to, take administrative control of the affected funds and your account. If administrative control of some or all of the funds or your account is necessary,
MetaComp may continue to hold until the dispute is resolved and evidence of the resolution acceptable to MetaComp has been
provided to MetaComp in a form acceptable to MetaComp. MetaComp will not become involved in the resolution of any such dispute or dispute. You
agree that MetaComp is not responsible for any such control, or for your inability to withdraw funds or execute transactions during any control period.
a. Remaining Funds After Account Termination Subject to clause (b) below, once an account is closed/cancelled, all balances on the account (including fees and debts owed to MetaComp) will become
immediately payable to MetaComp. Upon payment of all outstanding fees (if any) to MetaComp, the user will have 5 business days to withdraw all funds from the account .

b. Remaining funds after an account is terminated due to fraud, illegality or violation of these Terms of Use

MetaComp retains full custody of funds and user data/information and may turn over such funds and user data/information to government authorities in the event of an account suspension/closure resulting from a fraud investigation, illegal investigation, or violation of these Terms of Use .

11. No Financial Advice
MetaComp is not your broker, intermediary, agent or advisor and
has no fiduciary relationship or fiduciary obligations with you in connection with any transaction or other decision or activity you make using the Service. Any communications or information provided to you by MetaComp is not intended to be or should be considered or construed as investment advice, financial advice, trading advice or any other type of advice. All transactions

are automatically executed based on the parameters of your order instructions and the published transaction execution procedures, and you are solely responsible for determining whether any investment, investment strategy or related transaction is suitable for you based on your personal investment objectives, financial situation and risk tolerance . You should consult a legal or

tax professional for advice regarding your specific situation. MetaComp does not recommend that you buy, acquire, sell or hold any digital currency.
You should conduct due diligence before making a decision to buy, sell or hold any digital currency and consult your financial advisor before making any investment decision
. MetaComp is not responsible for your decision to buy, sell or hold digital currency based on the information provided by MetaComp.

12. Compliance with Local Laws
Users are responsible for complying with local laws related to their use of MetaComp services in their local area. Users must also consider
all aspects of taxation in accordance with local laws, including withholding, collection, reporting and remittance to their appropriate tax authorities. All users of MetaComp and any of its services
confirm and declare that their funds are from legal sources and are not generated from illegal activities. MetaComp adheres to the attitude of cooperating with law enforcement agencies around the world and will
not hesitate to seize, freeze, terminate user accounts and funds that are authorized by law to be cancelled or investigated.

13. Privacy Statement
Accessing the Service requires the submission of certain personally identifiable information. Please read the posted MetaComp Privacy Statement for
a summary of MetaComp’s practices regarding the collection and use of personally identifiable information.

14. DISPUTE RESOLUTION: VENUE OF ARBITRATION, ARBITRATION, CLASS ACTION WAIVER, GOVERNING LAW
PLEASE READ THIS CLAUSE CAREFULLY BECAUSE IT CONCERNS THE WAIVER OF CERTAIN RIGHTS TO BRING LEGAL ACTION.

a. Dispute Notice

b. Arbitration Agreement

You and MetaComp agree to resolve any claim arising out of or relating to this Agreement (including any question regarding the existence, validity, or termination of this Agreement or any services or products we provide or any statements we make) through final and binding arbitration , except

as provided in the Exceptions to Arbitration Agreement section below. You agree to first contact MetaComp as set forth in Section (a) above to give us an opportunity to resolve any claim. If we are unable to resolve your claim within 60 days of receiving the notice, you may

seek relief through arbitration or in small claims court in Singapore as provided below.

c. Arbitration Procedure

You or MetaComp may submit a Dispute (after a Dispute has been settled amicably in accordance with clauses (a) and (b) above) to be finally settled by binding arbitration in accordance with the Arbitration Rules of the Singapore Court of International Arbitration (incorporated into this Agreement by reference). The arbitral tribunal shall

be composed of a sole arbitrator appointed by the President of the LCIA. The language of the arbitration hearing shall be English and the seat or legal place of the arbitration shall be Singapore. Judgment on any arbitration award
may be entered in any court having jurisdiction over the party (or the assets of that party) against whom the award is rendered.

d. Exceptions

Conversely, if the claim falls within the jurisdiction of the Singapore Small Claims Court, either party may elect to assert the
claim in the Singapore Small Claims Court and either party may seek injunctive or other urgent equitable relief from a court of competent jurisdiction. However, for the avoidance of doubt
, if the claim is not within the jurisdiction of the Singapore Small Claims Court, the claim will be referred to the Singapore Court of International Arbitration for final resolution.

e. Notice

To begin an arbitration proceeding, you must
send a letter requesting arbitration and describing your claim to Prospect way royal oak industrial estate ,Daventry ,Northamptonshire , NN118PL. If we initiate arbitration against you

f. Governing Law

This Agreement shall be governed by the laws of Singapore, without regard to its conflict of laws principles, unless the mandatory laws of any other jurisdiction require otherwise.

15. Tips
If your trading behavior causes the OTC merchant or other user's funds to be frozen (transaction methods include but are not limited to
transactions via bank cards, Alipay, WeChat, etc.), then:
(1) If the merchant's funds are frozen for less than six months, MetaComp has the right to freeze your trading account without any prior notice and require you to provide all necessary transaction information, including but not limited to providing KYC information in the form of video (for KYC information, please refer to the "MetaComp

-KYC and Anti-Money Laundering Agreement"), fund flow, etc. If the merchant's funds are unfrozen successfully, you can apply to MetaComp to unfreeze your trading account
.
(2) If the merchant's funds are frozen for more than six months, in addition to the rights stipulated in paragraph 1 of this article, MetaComp has the right to additionally require you to provide assets as trading margin.

16. Miscellaneous
a. Independent Parties

MetaComp is an independent contractor and not your agent in the performance of these Terms of Use. These Terms of Use shall not be construed as
evidence of a combination, joint venture, partnership or franchise between the parties.

b. Entire Agreement

These Terms of Use constitute the entire agreement between the parties regarding the use of the Service and supersede all prior written or oral agreements between the parties. The parties
shall not use transactions or other common practices or trading methods to modify, interpret, supplement or change the terms of these Terms of Use.

c. Force Majeure

shall not be liable for any delay or failure to perform as required by these Terms of Use due to any cause or condition beyond MetaComp reasonable control .

d. Severability Clauses

If any part of these Terms of Use is held invalid or unenforceable, such invalidity or unenforceability will not affect the other provisions of these Terms of Use , which will remain in full force and effect, and the invalid or unenforceable portion will be effective to the maximum extent possible.

e. Transfer

You may not transfer or assign any rights to use the Service or any of your rights or obligations under these Terms of Use without our prior written consent
, including by operation of law or in connection with a change of control. MetaComp may transfer or assign any or all of its rights or obligations under these Terms of Use, in whole or in part
, without notifying you or obtaining your consent or approval.

f. Waiver

The failure of a party to require performance of any provision shall not affect that party's right to require performance at any time thereafter, and the waiver of a breach of
any provision of these Terms of Use or these Terms of Use shall not constitute a waiver of any subsequent breach or violation or
a waiver of the provision itself.

g. Third-Party Website Disclaimer

Any links to third-party websites on the Service do not imply MetaComp endorsement of any products, services or information provided therein.

MetaComp does not guarantee the accuracy of the information contained therein. In addition, since MetaComp cannot control the terms of use or privacy practices of third-party websites , you should read and understand these policies carefully.
